TERMS & CONDITIONS
1. Non‑Contractual Program Notice. This SPIF Program is a promotional advertisement only. It is not a contract, does not create enforceable rights, and does not constitute an offer capable of acceptance. Netrix may accept or decline SPIF eligibility in its sole discretion.
2. Netrix Discretion & Verification. Netrix will determine whether a Partner has satisfied all SPIF requirements, including opportunity eligibility, deal qualification, customer viability, accuracy of Partner submissions, and compliance with Partner’s Agreement.
3. Customer Payment Requirement. SPIF payments require that the customer is current on all invoiced amounts. Netrix may withhold, delay, reduce, or claw back SPIF payments in the event of:
• Customer non‑payment
• Customer cancellation or early termination
• Fraud, misrepresentation, or administrative errors
• Post‑sale adjustments to deal scope or pricing
4. Standard Pricing Requirement. SPIF applies only to deals using Netrix standard pricing unless Netrix approves discounted pricing in writing. If discounts are approved, SPIF payouts may be reduced.
5. Payout Timing. SPIFs for MRR deals will be paid one (1) month after the customer has paid the first full month of MRR billing. If the customer never pays its first full month, no SPIF is owed.
6. Exclusions. SPIF does not apply to:
• Hardware‑as‑a‑Service (HWaaS)
• Microsoft CSP licensing
• Microsoft Azure consumption
• Renewals or add‑ons to existing MRR services
• Any opportunity not meeting eligibility or documentation requirements
7. Conflicts. If any term of this SPIF conflicts with the Partner’s Agreement, the Partner Agreement controls.
8. Program Modifications. Netrix may modify, suspend, or terminate this SPIF Program at any time, with or without notice, including changes to payout amounts, eligibility rules, or the promotional period.
9. Compliance With Laws. This SPIF is void where prohibited or restricted by law.
10. Governing Documents. Except as expressly stated herein, the SPIF does not modify Partner’s existing Referral or Channel Partner Agreement with Netrix.
